Terms of Service

By accessing or using Litos AI (the "Platform"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms applicable to specific features or services. If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you ("User") and Litos AI ("Company", "we", "us", or "our"). We reserve the right to modify these Terms at any time. Continued use of the Platform following any such modification constitutes your acceptance of the updated Terms.

Litos AI is an AI-powered visual algorithmic trading platform that enables traders, developers, organizations, enterprises, educators, quantitative teams, and trading communities to create, analyze, optimize, deploy, monetize, and collaborate around algorithmic trading strategies.

The Platform provides access to the following interconnected systems:

• Visual Graph Strategy Engine — a pure node-based development environment for constructing algorithmic trading systems without programming expertise
• Specialized AI Agentic Framework — integrated AI tooling for graph generation, understanding, auditing, optimization assistance, and strategy collaboration
• Backtesting & Simulation Engine — infrastructure for strategy validation, diagnostics, scenario analysis, and performance evaluation
• Marketplace Infrastructure — a trading bot economy for discovery, distribution, monetization, and commercial strategy exchange
• Trading Challenge Ecosystem — competitive structured progression environments with phase systems and rewards
• Copy Trading & Social Layer — infrastructure for following, copying, and collaborating around trading strategies
• Community, Forum & Blog Infrastructure — collaborative social environment for learning, communication, and knowledge exchange
• Enterprise Deployment Capabilities — advanced tooling for organizational deployments, governance, and API integrations

The Platform is provided "as is" and features may be modified, suspended, or discontinued at any time at our discretion. We are not responsible for losses arising from Platform modifications or unavailability.

To use Litos AI, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Platform under the laws of any applicable jurisdiction
• Not be a resident of a country subject to comprehensive trade sanctions

By registering or using the Platform, you represent and warrant that you meet all eligibility requirements. We reserve the right to terminate access for any user who fails to meet or maintain eligibility.

Access to most Platform features requires account registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

• You must provide accurate and complete information during registration and keep it updated
• You may not share your account or allow others to access the Platform using your credentials
• You must notify us immediately upon discovering any unauthorized use of your account
• We are not liable for losses resulting from unauthorized access caused by your failure to secure credentials
• Accounts are non-transferable and may not be sold, assigned, or sublicensed

Litos AI supports Google OAuth authentication. By using OAuth sign-in, you authorize Litos AI to receive your profile information from the respective provider in accordance with their terms of service.

The Visual Graph Strategy Engine allows users to construct algorithmic trading strategies using a node-based visual architecture. Users create strategies by connecting nodes that represent logical, analytical, executional, temporal, risk, or behavioral components.

Strategies created on the Platform using our tooling are subject to the following terms:

• You retain intellectual property rights over the original strategy logic and design decisions you contribute
• Litos AI retains all rights to the Platform infrastructure, node framework, compiler systems, and AI components used to build strategies
• By publishing a strategy to the Marketplace, you grant Litos AI a non-exclusive license to display, distribute, and facilitate transactions involving your strategy
• You are solely responsible for the trading behavior and results produced by strategies you create, deploy, or distribute
• Strategies compiled or exported through the Platform are subject to our licensing terms and may not be reverse-engineered

The Litos AI Specialized AI Agentic Framework provides graph-aware intelligence, strategy generation, graph auditing, optimization assistance, and explanatory capabilities. AI interactions consume platform credits.

• AI-generated strategy content is provided for informational and developmental purposes only
• AI output does not constitute financial advice and should not be treated as such
• You are responsible for reviewing, validating, and testing all AI-generated content before live deployment
• We do not guarantee the accuracy, completeness, or trading performance of any AI-generated strategy content
• Abusing AI systems, attempting to extract proprietary model information, or using AI tooling for prohibited purposes is strictly prohibited
• AI credit consumption is non-refundable once an AI interaction has been initiated and processed

The Litos AI Marketplace is a commercial environment enabling the discovery, distribution, purchase, rental, and monetization of algorithmic trading systems.

For Buyers

• All purchases are final unless explicitly stated otherwise in the relevant listing or our refund policy
• You acquire a usage license, not ownership, of purchased strategies unless a full transfer is explicitly documented
• Past performance data displayed on listings is provided for informational purposes only and does not guarantee future results
• You are responsible for evaluating strategy suitability before purchase and live deployment

For Sellers & Publishers

• You must submit accurate, truthful, and non-misleading information for all listings
• Published strategies undergo an admin review process before going live; we reserve the right to reject any submission
• You receive 80% of all confirmed sales revenue after applicable platform fees
• You are responsible for all claims, liabilities, and support obligations arising from your published strategies
• We reserve the right to remove any listing that violates these Terms, is reported for misconduct, or fails quality standards
• You must have full rights to any strategy you publish; submitting content you do not own is prohibited

Pricing Tiers

The Marketplace supports three access models:

• Monthly Rental — recurring access fee billed monthly for the period of active subscription
• Lifetime License (1 Device) — a one-time payment for permanent single-device usage rights
• Unlimited License — a one-time payment for permanent unlimited-device usage rights

The Litos AI Challenges ecosystem provides competitive trading environments with structured phase progressions, entry mechanics, and reward systems.

• Challenge rules, objectives, entry requirements, and reward structures are defined per challenge and may vary
• Challenge participation may require entry fees or credits; these are non-refundable once participation is confirmed
• Rewards are subject to verification of compliance with all challenge rules and objectives
• We reserve the right to disqualify participants who engage in prohibited conduct, manipulation, or terms violations
• Litos AI may modify, cancel, or suspend challenges at any time; in such cases, reasonable refund or compensation policies will apply where feasible
• Backtesting within challenge environments is for preparation purposes only; simulated results are not guarantees of live challenge performance

Litos AI provides a social copy trading environment for following and replicating trading activity. Users who copy strategies do so at their own risk and discretion.

• Copy trading involves replicating live or automated trading activity and carries the same financial risks as independent trading
• Past performance of copied strategies does not guarantee future results
• You remain solely responsible for your own trading account, capital, and risk management
• Strategy providers whose systems you copy are independent users; Litos AI does not endorse, verify, or guarantee their performance
• We reserve the right to limit, modify, or discontinue copy trading features at any time

By submitting, posting, or publishing content on the Platform — including strategies, forum posts, reviews, comments, and educational content — you grant Litos AI a worldwide, non-exclusive, royalty-free license to use, display, distribute, and reproduce such content in connection with operating and promoting the Platform.

• You retain ownership of original content you create and submit
• You represent that you have all necessary rights to submit content and that it does not infringe third-party intellectual property rights
• You must not publish plagiarized, fraudulent, or misrepresented content
• Litos AI platform technology, visual engine, node framework, AI systems, branding, and infrastructure are our exclusive property
• You may not reproduce, resell, or distribute any part of the Platform without our express written consent

Litos AI is a software platform for strategy development and deployment tooling. We are not a licensed financial advisor, investment manager, or broker-dealer. Nothing on this Platform constitutes investment advice, financial advice, or a recommendation to buy or sell any financial instrument.

• All strategies created, purchased, or copied through Litos AI are automated tools operated at your sole discretion and risk
• Backtesting results are simulated and do not account for slippage, spread variation, execution latency, or live market conditions
• AI-generated strategy suggestions are not financial recommendations and carry no performance guarantee
• You should only trade with capital you can afford to lose entirely
• We strongly recommend consulting qualified financial professionals before deploying any algorithmic strategy with real funds

You agree not to engage in any of the following activities:

• Using the Platform for any unlawful purpose or in violation of any applicable law or regulation
• Submitting fraudulent, misleading, or plagiarized strategy listings on the Marketplace
• Reverse-engineering, decompiling, or attempting to extract proprietary code or AI model weights
• Circumventing access controls, authentication, or subscription systems
• Interfering with the Platform's servers, networks, or infrastructure
• Using automated tools to scrape, crawl, or harvest Platform data without authorization
• Attempting to manipulate leaderboards, challenge outcomes, or rating systems
• Sharing account credentials or providing unauthorized third-party access
• Publishing harmful, abusive, defamatory, or illegal content in community areas
• Using the Platform to launder money, finance prohibited activities, or circumvent financial regulations
• Impersonating Litos AI, its employees, or other users

Violation of these prohibitions may result in immediate account suspension, permanent termination, and legal action where applicable.

Litos AI offers subscription plans that provide access to platform features and an allocation of AI credits used for AI-powered interactions.

• Subscription fees are billed on a recurring basis (monthly or annually) and are non-refundable unless required by applicable law
• AI credits are pre-allocated per billing cycle and reset monthly on your billing anniversary date
• Credits do not carry over between billing cycles unless explicitly stated in your plan
• AI credit consumption is calculated based on actual token usage (input and output); rates vary by AI model
• Plan changes take effect at the start of the next billing cycle; downgrades are deferred to avoid billing complications
• Free plans receive a starting credit allocation to allow platform evaluation without payment
• We reserve the right to modify plan pricing, credit allocations, and feature availability with reasonable advance notice

We reserve the right to suspend or permanently terminate your access to the Platform at any time, with or without cause, and with or without notice, including for any violation of these Terms.

You may terminate your account at any time through your account settings. Termination does not entitle you to refunds for unused subscription periods, unused credits, or previously purchased marketplace access unless explicitly required by applicable law.

Upon termination, all licenses granted to you cease immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will remain in effect.

To the maximum extent permitted by applicable law, Litos AI, its directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Trading losses arising from the use of strategies created, purchased, or copied through the Platform
• Loss of profits, revenue, or data
• Platform downtime, service interruptions, or technical failures
• AI-generated content errors, inaccuracies, or unintended strategy behaviors
• Unauthorized access to your account due to your failure to maintain credential security

Our total cumulative liability to you for all claims arising from your use of the Platform shall not exceed the greater of (a) the amount you paid to Litos AI in the three months preceding the claim, or (b) USD $100.

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration or the competent courts of the jurisdiction in which Litos AI is registered.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
